TERMS OF SERVICE – FOR ALL SHOPIFY APPS

1. Acceptance of Terms

These Terms of Service (“Terms”) apply to all Shopify applications (“Apps”) developed and published by AV Focus Software Solutions Pvt Ltd (“Company”, “we”, “us”, or “our”).
By installing or using any of our Apps, you agree to these Terms and our Privacy Policy.

If you do not agree, you must not install or use our Apps.

2. License to Use

We grant merchants a limited, non-exclusive, revocable license to use our Apps solely within their Shopify store for lawful business purposes.

We retain all ownership rights to software, code, intellectual property, UI/UX, and documentation.

3. Shopify Relationship

Our Apps operate on Shopify’s platform.
Merchants must maintain:

  • A valid Shopify store
  • A billing agreement with Shopify
  • Compliance with Shopify’s Terms of Service

Any violation of Shopify’s rules may result in suspension of App access.

4. Functionality & Service Scope

Each App provides specific features (e.g., product automation, merchandising, content updates, analytics, optimization, storefront functions, or workflow automation).
Merchant activity may modify data in their store (products, collections, pages, settings, etc.).

Merchants are responsible for reviewing, approving, and publishing all changes.

We do not guarantee business results or revenue outcomes.

5. Third-Party Integrations (Optional)

Some Apps allow merchants to integrate external services such as:

  • AI-driven content or recommendations
  • Analytics platforms
  • Translation or optimization APIs

When merchants connect such services, they:

  • Provide their own API tokens
  • Accept the third-party’s terms
  • Are billed directly by the third-party (if applicable)

We do not control or guarantee third-party results.

6. Billing, Fees & Refunds

Paid apps follow Shopify Billing.
Merchants agree that:

  • Subscription or usage charges are billed by Shopify
  • Uninstalling an App stops future charges
  • Ongoing or previous charges are not refunded automatically
  • Refund requests must follow Shopify Billing rules

If an App is offered free, this section still applies for future billing plans.

7. Data Usage & Privacy

We access only the Shopify data required to provide App functionality.
We delete merchant configuration data after uninstall, as described in our Privacy Policy.

We do not sell personal information.
We follow Shopify’s App Store privacy requirements.

8. Merchant Responsibilities

Merchants agree to:

  • Review all App-generated output before applying it to their store
  • Ensure store-level compliance with applicable laws (product claims, labeling, marketing)
  • Keep login credentials and API keys confidential
  • Use the App for lawful purposes only

We are not liable for inaccuracies introduced by merchant misuse or third-party services.

9. AI-Generated Output (If Applicable)

Some Apps use AI engines to generate or modify product text, tags, rules, images, or collection data.
Merchants acknowledge that:

  • AI output may contain errors, bias, or regulatory issues
  • They must manually verify results before publishing
  • We are not liable for losses, penalties, or compliance violations caused by AI output

10. Modifications & Updates

We may update or discontinue features at any time to:

  • Comply with Shopify policies
  • Improve performance or security
  • Replace deprecated APIs
  • Comply with legal requirements

Continued use indicates acceptance of updates.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Our Apps are provided “as-is” and “as-available”
  • We disclaim warranties of merchantability, fitness, non-infringement
  • We are not liable for loss of revenue, profits, store data, business interruption, or legal penalties arising from App use
  • Total liability shall not exceed the amount paid in the last 3 months of the App subscription

Some jurisdictions may not allow such limitations.

12. Indemnification

Merchants agree to indemnify and hold harmless AV Foucs Software Solutions Pvt Ltd and its employees against claims arising from:

  • Misuse of the App
  • Illegal or non-compliant business activity
  • Data posted or modified inside Shopify
  • Third-party services enabled by the merchant

13. Termination & Uninstall

Merchants may uninstall at any time via Shopify Admin.
We may suspend or terminate access if:

  • Fraud, abuse, or illegal activity is detected
  • Security issues arise
  • Shopify directs us to suspend activity

After uninstall, merchant configuration data is deleted in accordance with our Privacy Policy.

14. Governing Law

These Terms are governed by the laws of India/Telangana, without regard to conflict-of-law principles.
Merchants consent to the exclusive jurisdiction of the courts in Hyderabad.
